Overview

Brian L. Ross is a partner in our Corporate and Securities Department. He specializes in corporate financing, public and private equity and equity and debt offerings, mergers and acquisitions, private equity funds, venture capital transactions, and general corporate representation. He serves as outside general counsel for numerous public and private companies operating in a broad range of industries including video on demand, technology, communications, entertainment, financial services, and retail industries. As outside general counsel, he handles a wide array of matters for clients, including public offerings, PIPEs, RDO and private placements, fund formation, Exchange Act compliance, business plan development, employment agreements, stock option plans, licensing agreements and distribution contracts.

Mr. Ross has been with Graubard Miller since graduating from Brooklyn Law School in 1991, where he was Editor-in-Chief of the Brooklyn Journal of International Law. He is also a highly respected musician performing regularly in popular bands in Long Island and New York City, as well as in the studio, on record, and film projects. He is a composer and song writer, with projects across numerous genres, working alone and in collaboration with other musicians around the world.

Mr. Ross has authored or co-authored numerous articles, including "SPACs and the Business Combination Agreement" (Financier Worldwide), "I Love Lucy, But The European Community Doesn't" (Brooklyn Journal of International Law) and "Contracts 101" (Business2Credit.com Experts Network).
