Business Law:
In addition to serving as outside general counsel or as an outside director to clients in a number of industries, Jeff advises on discrete projects including:
- Business and commercial law
- Contract preparation and review
- Business organizations (business formation and dissolution, including corporations, partnerships and limited liability companies, representing early stage, venture-backed and established companies; partner disputes and shareholder disputes)
- Mergers and acquisitions of private companies

Jeff’s litigation practice is limited to a strategic or litigation management mode. He does not make court appearances.
Jeff came to this mix of practices after many years in the corporate law departments of major international law firms in New York and Seattle. His broad experience included:
- representing private equity and venture capital funds and their portfolio companies, raising funds and establishing complex partnership and compensation arrangements for funds of up to $1 billion in committed capital;
- advising on, structuring and documenting public and private mergers and acquisitions, joint ventures, public offerings and Rule 144A offerings, private debt and equity financings and debt restructurings;
- technology licensing and development; and
- acting as outside general counsel to publicly and privately held businesses in a wide variety of manufacturing, marketing and service industries, including employee matters, general commercial and other operational matters, attendance at board meetings, preparation of SEC periodic reports and interfacing with people at all levels of client organizations to address strategic and operational concerns.
After relocating to Boston, he was a partner in a small firm that focused on representing venture-backed companies, before striking out on his own.
Jeff became interested in alternative dispute resolution after seeing how frustrated his clients became with the time and resources the litigation system took to resolve certain kinds of disagreements. He began as a mediator then branched out to add arbitration and Collaborative Law to his skills. In the process, Jeff began applying these tools to help clients in family matters as well, including divorces and estate disputes involving family businesses. He has found that the combination of common sense, deal-oriented negotiation and the ability to listen closely to parties in conflict serves clients across the spectrum, particularly in helping to focus all the parties on incentives.
Jeff is active in a number of professional organizations including the American Bar Association, where he is Vice-Chair of the Ethics Subcommittee of the Dispute Resolution Section’s Collaborative Law Committee; the International Academy of Collaborative Professionals; the Massachusetts Collaborative Law Council, where he is Co-chair of the Collaborative Business Law Practice Group and a member of the Public Education Committee; and the Massachusetts Council on Family Mediation, where he is a member of the Marketing Committee. He is the author of the popular Kung Fu Mediation blog (www.kungfumediation.com) and is a regular contributor to Family Mediation Quarterly and various online publications.
Jeff’s pro bono work includes serving as a mediator for the Community Dispute Settlement Center in Cambridge, Massachusetts and serving as an arbitrator for the Better Business Bureau and the Massachusetts Bar Association’s Legal Fee Dispute Arbitration Board.
