Michael McDonough is an attorney and entrepreneur who joined BizCounsel after spending 13 years operating his own Chicago-area law firm. Michael has extensive experience in representing businesses of all sizes in corporate transactions and securities issuances as well as representing lenders and borrowers in sophisticated lending transactions.
Prior to starting his firm, Michael served as Senior Executive Vice-President, Secretary and General Counsel of QuinStreet, Inc. (NASDAQ: QNST), where he established the legal department and recruited, trained, and led a team of attorneys and legal professionals. His leadership helped the highly acquisitive company grow rapidly from an early stage startup to a publicly traded enterprise.
Prior to QuinStreet, Michael founded and served as CEO of several companies including a retailer, an importer of bicycles and cycling products, an investment and venture capital firm and an automobile dealership.
Michael's 30+ years of legal experience has given him extensive experience with a wide array of legal disciplines including:
Technology Licensing Agreements, Technology Service Agreements, SaaS Agreements, website Terms of Use and Privacy Policies
Startup financing and securities law compliance
International business structuring
Secured commercial lending transactions (including UCC compliance)
Vendor and supplier agreements, and other commercial contract
Employment matters including employee handbooks, conducting confidential internal investigations, and human resources legal compliance
Commercial real estate matters including leasing and sales.
Michael was a visiting lecturer at the John Marshall Law School. In addition, he testified before the US Fair Trade Commission on matters related to email marketing, and before Congress on e-commerce issues. Michael is an avid world traveler and has visited nearly every nation on the globe.
Michael holds a JD from the University of Chicago Law School and a B.A. in English, magna cum laude, from Haverford College in Pennsylvania.
