Linda Rosenthal has extensive experience with private offerings, including private placements and small offerings, as well as public offerings. She counsels clients on complying with the federal and state securities laws, including those relating to the issuance, purchase and sale of restricted and control securities. She organizes internal securities markets involving companies, their employees and shareholders, and assists clients in establishing compensatory benefit plans relating to the issuance of options, warrants, appreciation rights, restricted stock and units, and other restricted securities. Linda also prepares Securities and Exchange Commission (SEC) and state securities filings and assists clients under investigation by the SEC and the Virginia Division of Securities and Retail Franchising. In addition, she counsels clients regarding compliance with federal and state laws applicable to investment advisers, solicitors, finders, and securities brokers.
Linda also has experience with a broad range of transactional and general corporate matters. She counsels clients regarding mergers, stock, and asset acquisitions, as well as for a wide variety of purchase, sales, lending, investment and joint venture transactions. She also provides advice regarding complex financial arrangements and non-bankruptcy restructurings and reorganizations. In addition, she counsels for-profit and tax-exempt clients about a wide variety of matters relating to the organization and operation of their businesses, including advice on business structure and formation, corporate governance, and compliance with state business acts and commercial codes.
