Overview
James Porter concentrates his practice on general corporate law, business transactions and health care. He regularly advises clients in connection with general corporate and contractual matters, business start-ups, purchases and sales of businesses, asset sales and purchases, mergers and acquisitions, and financing transactions.
He has represented various businesses in strategic acquisitions of other businesses and has represented health care related companies in the acquisition of health care provider entities. He has also represented various sellers in multi-million dollar sales of privately owned companies, has represented banks in connection with sales of merchant credit card processing portfolios, has assisted in the implementation of the affiliation of several nonprofit community mental health centers resulting in a large multistate mental health provider, and has represented the organizers of new businesses in connection with start-up issues and initial stock offerings.
He also served as member of the Tennessee Bar Association Task Force that drafted the Tennessee Limited Liability Company Act.
