Overview
Mr. Winterbottom is an experienced corporate and transactional attorney who focuses on mergers and acquisitions (e.g., domestic and cross-border, private and public, strategic and operating, buy-side and sell-side, bolt-ons and carve-outs) and public company reporting (e.g., proxy statements, annual reports, shareholder proposals, initial public offerings, delistings, compliance with insider trading rules). His practice also includes corporate reorganizations and restructurings, minority stake investments (e.g., NVCA form deals), corporate governance work (e.g., entity formations, operating agreements, stock ledgers, board resolutions and minutes, committee charters) and “outside general counsel” work for companies with no in-house lawyers. In particular, he is an expert in special purpose acquisition companies (SPACs), having served as a key advisor to Iron Horse Acquisitions Corp. (NASDAQ: IROH), which completed its initial public offering (IPO) in December 2023, and Iron Horse Acquisition II Corp. (NASDAQ: IRHO), which completed its IPO in December 2025, and having worked on multiple “deSPAC” transactions over the years.
Mr. Winterbottom is skilled at drafting a wide variety of legal and commercial contracts, including settlement agreements, nondisclosure agreements (NDAs), employment agreements, consulting agreements, license agreements, master services agreements (MSAs) and other services agreements, customer and vendor contracts, equity incentive plans, shareholders agreements, letters of intent (LOIs), and purchase and sale agreements. He is adept at understanding the risks and realities of business deals and appropriately tailors his advice to his clients’ specific risk appetites.
Mr. Winterbottom’s work is not limited to a particular industry or sector, but he has particular expertise when it comes to providing legal advice and services to private equity funds, software as a service (SaaS) and large language model (LLM) businesses, government contractors and subcontractors, accounting firms, industrial manufacturers, not-for-profit organizations, family offices, and pharmaceutical, chemical, and healthcare companies.
In addition to his transactional work, Mr. Winterbottom also has experience with family court and landlord/tenant court litigation, appellate-level federal court litigation, post-conviction relief for criminal court records (including expungements), civil judgment enforcement and collection, and the drafting and adoption of state legislation.
Mr. Winterbottom received his Juris Doctor from Harvard Law School, and while studying there he worked as a legal intern for the Philadelphia District Attorney’s Office. Prior to law school, he graduated summa cum laude from the University of Pennsylvania, following which he worked as a legal assistant at Salaman Law before matriculating to Harvard.
