Overview

Randy Kenworthy is a Sonoma County native, born in Santa Rosa. Following his undergraduate education at SSU in Business Management, he received his J.D. from the University of San Francisco School of Law and was admitted to the California Bar in 1974. During more than 40 years with the firm, his practice has focused on strategic planning with emphasis on real estate, closely held businesses, and commercial transactions.

He has extensive experience in the wine industry, representing wineries, vineyard owners and farming enterprises, including numerous family-owned businesses. Randy's wine industry practice includes the sale and acquisition of wineries and vineyards, as well as vineyard leasing, farming agreements, and grape purchase agreements.

Mr. Kenworthy advises and assists clients on business planning and business entity selection, and assists in the formation of corporations, partnerships, joint ventures and limited liability companies. He has represented numerous closely held businesses in connection with their initial organization, management, internal governance, record keeping and legal compliance, as well as the dissolution, liquidation, merger and conversion of business entities.

Randy represents real estate investors, owners, developers and other entities in planning, negotiating and documenting complex commercial and real estate transactions, including sales, acquisitions, exchanges, options, easements, property management, construction financing, permanent financing, ground leases, and the leasing of office, shopping center, and commercial space. His services include ongoing lease administration, and assistance with the operation and management of shopping centers, office buildings and other commercial real estate investments.

Mr. Kenworthy also provides planning services which emphasizes family business and real estate succession, and the formation of family limited partnership and limited liability company entities to preserve family wealth, ownership, and control. He provides analysis, guidance and planning for effective use of exemptions from California's complex Prop 13 "change of ownership" reassessment rules for California real property.
