Overview
Ronnie brings a decade of experience in corporate and transactional law, with a career spanning both law firms and in-house counsel roles. He started his career with a venture capital firm backing fintech disruptors before lateralling to the corporate practice of a prominent Sacramento law firm, where he negotiated and managed stock and asset acquisitions, mergers, corporate restructurings, leases, commercial paper, and startup financings. He also leveraged his LLM in Taxation in tax controversy, tax planning, structuring insurance-funded buy-sell agreements, and advising LLCs on complex partnership tax considerations.
During his time as in-house counsel to a major real estate development firm in Northern California, he also led a comprehensive company-wide restructuring of dozens of LLCs and partnerships to secure a portfolio loan, coordinated a portfolio wide cost-segregation study, negotiated with anchor tenants in lease amendments, terminations, and deferrals during the pandemic, and optimized bonus depreciation strategies for listed property, including a company aircraft. His experience in-house gives him an inside perspective on corporate governance matters with a continued focus on company compliance obligations, including the recently passed Corporate Transparency Act.
Before joining Reynolds Law, LLP, Ronnie lateralled to a firm specializing in stock financings, acquisitions, and exits. While there, he represented venture-backed companies through late series preferred stock financings, bridge loans, term sheet negotiations, mergers, acquisitions, engagements with investment banks and other broker-dealers, and complex corporate governance matters.
Ronnie leverages his corporate law experience at Reynolds Law, LLP to manage mergers, acquisitions, and financings, while also representing LLCs, partnerships, and corporations throughout their life cycles, from formation to wind-up. He advises clients on the full spectrum of commercial contracts and governance issues that arise at every stage of a business.
