Overview
Ryan is an experienced corporate strategist and litigator. In his practice, Ryan represents clients in a broad range of complex disputes in state and federal courts including commercial, securities, structured finance, and antitrust matters, and handles all aspects of litigation and dispute resolution including analysis of claims and defenses, fact and expert discovery, dispositive and non-dispositive motion practice, trial preparation, appellate arguments, and out-of-court mediation and settlement negotiations. Ryan represents corporate debtors and court-appointed trustees in complex reorganizations, liquidations, and restructurings, from filing through confirmation, and handles various aspects of pre-bankruptcy counseling, discovery and motion practice in main and adversary proceedings, and development of disclosure statements and liquidating plans of reorganization. Ryan also provides a wide range of counseling to corporations and LLCs regarding operational strategies including structuring and documenting significant corporate transactions.
ILLUSTRATIVE PROFESSIONAL EXPERIENCE
· Representation of institutional investors in litigations against sponsors, underwriters, and trustees of residential mortgage-backed securities, and obtain favorable settlements.
· Representation of government entities in dispute with underwriters and counterparties of variable-rate demand obligations and interest rate swaps arising out of fraudulent inducement and false claims.
· Representation of class plaintiffs and service on court-appointed executive committee in antitrust litigation, and obtain favorable settlement.
· Representation of regional corporation, owners, operators, and affiliates to defend against claims of monopolization, tortious interference, and sham litigations arising out of alleged anti-competitive conduct, and obtain favorable settlement.
· Representation of regional franchisee in connection with corporate restructuring, strategies to guard against tax implications, and potential restrictions and necessary consents associated with reorganization.
· Representation of corporate debtors and court-appointed trustees in bankruptcy reorganizations and insolvency proceedings, from filing to confirmation.
· Representation of national healthcare provider in connection with providing legal services related to corporate governance, commercial financing, restructuring, and acquisitions, as well as pursuing related litigations concerning construction liens and contractual obligations under performance bonds.
· Representation of institutional investors in connection with providing assessment of legal and financial risks associated with potential acquisitions of litigation rights related to distressed assets.
