Overview
Mr. Bodie’s practice focuses upon counseling business and real estate clients on a broad spectrum of issues with which they must deal in order to successfully compete and expand in today’s economic and regulatory climate.
Mr. Bodie counsels owners of real estate, intellectual property and businesses ranging from technology to manufacturing, distribution, real estate and service-based businesses. Mr. Bodie structures transactions to address the needs and circumstances of clients, whether they be startup, emerging growth, cloud-based, or mature businesses.
Drawing on his 40 years of experience, Mr. Bodie assists clients in the identification, protection, commercialization and enforcement of intellectual property rights. He counsels clients in the prosecution and procurement of federal copyright, trademark and servicemark registrations and advises regarding the identification and safeguarding of proprietary information via trade secret protection programs. Mr. Bodie provides strategies for commercializing his clients’ intellectual property via licensing of trademarks, copyrights, patents and trade secrets. He has substantial experience in negotiation of software license agreements (in OEM, company-wide, site-wide or end-user contexts) with applications ranging from process control software used in the petrochemical industry to commercial debt recovery to productivity software. Mr. Bodie has negotiated purchase agreements for design and utility patents and has structured such transactions as option (allowing time for due diligence) acquisition and invention assignment agreements. He has negotiated software development, joint authorship, and source code escrow agreements. Mr. Bodie has experience in the commercialization of manufacturing and/or marketing rights under patent (both utility and design), trade secret or trademark licenses. Mr. Bodie assists clients in commercializing their intellectual property via cloud platform (i.e. SaaS) by drafting required Privacy Policies and Terms of Service.
Mr. Bodie’s substantial experience in real estate transactions encompasses the sale/acquisition/development of commercial property, commercial broker representation and leasing activity from ground leases to professional office, commercial, retail, industrial and manufacturing leases. His development experience includes negotiation of agreements with lenders, architects and contractors. Mr. Bodie has experience in §1031 tax deferred exchanges. He has prepared real estate brokerage and management agreements. Mr. Bodie is experienced in counseling clients on business formation and choice of entity. He has negotiated agreements required by start-up, high growth, or mature businesses including key person employment, commercial loan transactions, equipment purchases, strategic partner arrangements, and independent contractor, sales representative, distributor and nondisclosure/noncompete agreements. Mr. Bodie has substantial experience in the sale or acquisition of business assets, capital stock or LLC membership interests, joint venture agreements and partnership agreements. He advises clients on matters of corporate and LLC governance.
Mr. Bodie also enjoys counseling business and real estate clients on short and long term strategic planning issues, particularly since he is able to provide the perspective of both transactional and lawyer and former litigator.
Mr. Bodie has previously had substantial real estate and business litigation experience. His real estate experience includes: foreclosure (trust deed, mortgage or construction lien); receivership; specific performance and rescission; commercial lease disputes; condemnation; commercial brokerage and property management disputes; fraud; constructive trusts; boundary disputes; trespass and commercial landlord-tenant issues. Mr. Bodie’s business litigation experience includes: breach of contract; fraud; breach of fiduciary duty; corporate litigation including takeover issues.
