Michael has extensive experience with entity formations, mergers and acquisitions for privately owned profit and non-profit LLCs, Corporations and Partnerships, equity partner buyout negotiation and business strategy. Michael is an experienced drafter and negotiator of multi-party, complex commercial transactions involving technology and licensing, software, hardware, consulting, telecommunications and commercial real estate. He also has experience negotiating and drafting master services and consulting agreements and all applicable vendor RFIs, RFPs, RFQs, bidder conferences, and issue/dispute management. Michael is skilled with vendor and client relationships, intellectual property strategy, vendor procurement contracting and negotiation, compliance procedures and related form creation and management, regulatory policy oversight, employer legal issues, EEOC investigation oversight and training. He has negotiated and drafted all types of commercial loan documents for middle market secured lending transactions (including credit agreements, notes, real estate sale, lease and mortgage related documents for commercial real estate and equipment, assignments & participations, intercreditor agreements, etc.). He has also drafted home and condominium owner declarations of covenants, conditions restrictions, and easements for real estate developments.
